G R A N T   O F   L I C E N S E



          This Grant of License is hereby made this ______________ day of
          _____________, 19 ____ between Naxos Press, having its place of
          business at 494 G Loop Rd., Bow, Washington 98232 (hereinafter
          "Seller") and ________________________________________________
          ______________________________ (hereinafter "Buyer").


          RECITALS

          WHEREAS, Buyer desires to purchase ________________________
          __________________ (the "Product") described hereto and produced
          by Seller in accordance with the terms set forth in this Grant of
          License; and

          WHEREAS, Seller desires to produce the Product and transfer
          certain rights to the Buyer in accordance with the terms set forth
          in this Grant of License; and

          NOW, THEREFORE, in consideration of the premises the Seller grants
          the following rights to the Buyer:

          GRANT OF NON-INFRINGEMENT

          1.   The seller after receipt of monetary compensation from the
          Buyer will sell the Product to the Buyer. The Buyer will receive
          the non-exclusive right to use any and all portions of the product
          for his own personal or commercial activity without any additional
          compensation to the Seller.

          2.   By copying, using, modifying, reselling or any other means of
          reproduction of the Product in physical or electronic form, the
          Buyer will not be in any way infringing the rights of the Seller.

          3.   The Buyer may sell and transfer the same Product rights
          granted hereto by identifying himself as the Seller and his
          customer as the Buyer. This grant can be for the Product in its
          original form, a modified form, or as an incorporated element of
          another Product or works.

          4.   The Buyer is not bound to the Seller to be required to
          identify the Product as being authored or produced by the Seller.
          The Buyer can elect to use or sell the Product under his own name
          or private label without infringing the Seller. The Buyer has the
          right to remove any or all said information from the Product that
          identifies the Seller as the author or seller of the Product.

          WARRANTY

          Do to the Grant of License and the ability of the Buyer to change
          the Product, there are no warranties, express or implied. Seller
          expressly disclaims any warranty of merchantability and fitness
          for any particular purpose.

          COPYRIGHTS AND TRADE SECRETS

          1.   Seller represents that it knows of no misappropriation of
          copyrights or trade secrets in the creation of this Product and
          has no reason to believe that it the Seller has infringed the
          right of another.

          2.   The Seller will not be held liable for any claim against the
          Buyer for any copyright or trade secret violation action taken
          against the Buyer. The Buyer assumes full responsibility for his
          own actions and subsequent use or misuse of said Product.

          ENTIRE AGREEMENT

          1.   By purchasing and taking possession of the product, the Buyer
          has agreed to the terms set forth in this agreement. This
          agreement sets forth and shall constitute the entire agreement
          between Buyer and Seller with respect to the subject matter
          thereof, and shall supersede any and all prior agreements,
          understandings, promises and representations made by one party to
          the other concerning the subject matter herein and the terms and
          conditions applicable thereto.

          2.   In making and performing this agreement, the parties act and
          shall act as independent parties and nothing contained in the
          agreement shall be construed or implied to create a relationship
          or partnership between the parties other than Buyer and Seller. At
          no time shall either party make commitments or incur any charges
          or expenses for or in the name of the other party.
